Terms of use
These Terms of use govern the Null Point Audio website and direct purchases of our audio plugins. They apply across our plugin range, including products released in the future. The description and specifications of the particular product form part of your order.
1. Scope and company details
1.1 Null Point Audio Ltd. („Нул Пойнт Аудио“ ООД) ("Null Point Audio", "we", "us") is a Bulgarian limited liability company, registered in the Bulgarian Commercial Register under UIC / ЕИК 208903430. Our VAT identification number is BG208903430. You can consult our Commercial Register entry and contact us at inbox@nullpoint-audio.com.
1.2 In these terms, a "plugin" means the downloadable audio software identified in your order, together with its supplied documentation. The License Agreement governs your use of that software. The Privacy Policy explains how we process personal data.
1.3 These sales terms concern digital software. Any hardware or other physical product will have its own applicable sales, delivery and returns information before purchase. Mandatory law takes precedence over any conflicting term.
2. Orders, prices and payment
2.1 Each paid plugin is licensed for a one-time payment, without a subscription. The price, currency, included features, formats and system requirements are stated on the relevant product page. The complete amount payable, including applicable taxes and charges, is shown before you confirm payment.
2.2 Review the product information and your order details before paying. Where a free edition is available, it may omit features included in the paid edition. Its available functions are described on the relevant product or download page. Trying a free edition does not reduce your statutory rights.
2.3 Stripe processes payments. You can review and correct your details before confirming payment. We accept your order when payment is successfully completed and your paid order is confirmed. Access may remain pending while a payment is incomplete or unconfirmed.
2.4 Provide an email address you can access, as order confirmation and download access depend on it. You may purchase without an account. If you subsequently create an account, use the purchase email address to access the associated order. Keep your account credentials private and contact us if you suspect unauthorised access.
3. Digital delivery and updates
3.1 We supply purchased plugins digitally after successful payment, through the order page and purchase email. No physical item is shipped. If payment succeeds but you cannot obtain your download, contact inbox@nullpoint-audio.com with your order reference.
3.2 Download links may expire or have a stated download limit for security. Those limits do not end your licence or your entitlement to updates. Use your account to obtain available downloads or contact us with evidence of your purchase.
3.3 A paid purchase includes lifetime access, at no additional charge, to all future updates released for the plugin you purchased, including future versions of that plugin. This entitlement does not include separately sold plugins or other products. It does not promise a particular release schedule, continuing development or an unannounced feature.
3.4 The relevant product page and documentation specify compatibility and any internet or activation requirements. Future releases may have updated system requirements, which will be disclosed with the release. We remain responsible for updates and remedies required by applicable law.
4. Final sales and statutory rights
4.1 Completed digital-licence purchases are final. Null Point Audio does not offer voluntary withdrawal, cancellation, returns or change-of-mind refunds. The exceptions are rights and remedies that applicable law does not allow us to exclude.
4.2 Where mandatory consumer law grants a withdrawal right, it remains available unless the legal conditions for its loss have been met. For EU/EEA consumers, the statutory period for a distance contract for digital content is normally 14 days from conclusion of the contract; it may be extended where required information has not been supplied.
4.3 For paid digital content, the EU/EEA withdrawal right is lost only when supply begins with your prior express consent to immediate supply during the withdrawal period, your acknowledgement that you thereby lose that right, and the required contract confirmation. Accepting these terms or purchasing alone does not establish that separate consent and acknowledgement.
4.4 To exercise a statutory right, send a clear statement identifying you and your order to inbox@nullpoint-audio.com. For a statutory withdrawal, no reason is required and sending your notice before the applicable deadline is sufficient. Any reimbursement required by law will be made within the applicable deadline, normally within 14 days of a valid withdrawal notice, using the original payment method unless you expressly agree otherwise, without a reimbursement fee.
5. Delivery problems and non-conforming software
5.1 If a plugin is not supplied or does not meet the contract or applicable legal requirements, contact us with your order reference and a description of the problem. Depending on the circumstances, statutory remedies may include supply, correction without charge, a proportionate price reduction, or termination and reimbursement.
5.2 Our final-sale policy does not replace these remedies, require you to accept store credit where reimbursement is due, or make your rights conditional on trying a free edition. Following a valid termination of a purchase with reimbursement, you must stop using the software covered by the terminated licence, subject to applicable law.
6. Website use and intellectual property
6.1 Use the website lawfully. Do not interfere with its operation, attempt unauthorised access, submit fraudulent orders, or copy or distribute protected website material without permission or a legal right to do so.
6.2 Null Point Audio and its licensors retain their rights in the website, software and associated materials. Purchasing a plugin grants the rights described in the License Agreement; it does not transfer ownership of the software. We acquire no ownership of your original music, recordings or other output through your use of our plugins.
6.3 Nothing in these terms excludes liability that cannot lawfully be excluded, including mandatory consumer protections and liability for fraud or intentional misconduct.
7. Complaints and applicable law
7.1 Contact inbox@nullpoint-audio.com with any complaint so that we can try to resolve it. You may also contact the Bulgarian Commission for Consumer Protection (KZP). Its general conciliation commissions provide an alternative dispute-resolution route. Participation is voluntary unless required by law; we will tell you whether we will participate when responding to an unresolved dispute.
7.2 Bulgarian law governs these terms. For consumers, this choice does not remove the mandatory protections of the law that would otherwise apply, including applicable protections in your country of residence, or restrict access to courts available under mandatory jurisdiction rules.
7.3 Digital purchases are offered internationally, subject to legal restrictions and the availability of payment services. No term overrides a non-excludable consumer right in your country.
8. Changes to these terms
8.1 The terms agreed for your order govern that order. We may revise these terms for future website use and future purchases and will show the revised date. A later revision does not remove an existing licence, lifetime access to future updates already purchased, or accrued statutory rights.
